1. Agreement
These Terms of Service (“Terms”) are a binding contract between you and TRINITY Trade, Inc., a Delaware corporation (“TRINITY,” “we,” “us”). They govern access to and use of the TRINITY web application (including app.trinitytrade.io), the native iOS app, the marketing site (www.trinitytrade.io), the Learning Center (learn.trinitytrade.io), and related APIs, emails, and software we provide (the “Services”).
By creating an account, clicking agree, or using the Services, you accept these Terms and the Privacy Policy. If you do not agree, do not use the Services. If you use the Services for an organization, you represent you have authority to bind it.
2. What TRINITY Is — and Is Not
TRINITY is software and education for a written daily investing discipline: an after-close opinion on the companies we cover, construction of a paper portfolio from risk and cash, optional simulated orders, and a record of what the process would have done.
TRINITY is not a broker-dealer, introducing broker, registered investment adviser, commodity trading advisor, commodity pool operator, bank, trust company, exchange, clearing firm, or fiduciary. We do not custody cash or securities. We do not open or carry a live brokerage account. We do not guarantee fills, prices, or results. SIPC and FDIC insurance do not apply to paper positions in the product.
If you buy or sell securities in the real world, you do that with a third-party broker of your choosing, under that broker’s agreements. TRINITY is not a party to those trades and is not responsible for them.
Internal copy, older pages, or research tools that talk about “placing trades” or “real money” describe our paper-trading environment (simulated books marked with real market data) or future ideas. They do not make us a broker and they do not change these Terms. Live brokerage, if we ever offer it, will require a separate written agreement and a named broker-dealer or custodian. Until that exists, every “trade” in the product is simulated.
3. Eligibility
You must be at least 18 and able to form a binding contract. We design, support, and contract for the Services as a United States product. We do not geo-block other countries. Anyone who meets these Terms may use the Services as a learning and paper-trading tool. The product does not connect to banks, brokers, or live securities accounts, and it does not place real trades.
You may not use the Services if you are barred by applicable law, if you are located in or ordinarily resident in a comprehensively sanctioned jurisdiction, or if you are on a US, UK, EU, or UN sanctions list. If you use the Services from outside the United States, you are responsible for your local law. Support, these Terms, and data processing remain in the United States.
4. Accounts
- Accuracy. Provide accurate registration information and keep it current.
- One person. Accounts are personal. Do not share login credentials or sell the account. You are responsible for all activity under the account until you notify us of a compromise at info@trinitytrade.io.
- Authentication. Sign-in may use email, Google, or Apple. Those providers’ terms also apply to the sign-in event.
- Security. Use a strong unique password and keep your devices locked. We may require additional checks (including App Check or bot challenges) and may refuse or revoke sessions we believe are abusive or compromised.
5. Paper Portfolios and Simulated Trading
Portfolios, positions, cash, orders, fills, and performance in the Services are paper / hypothetical unless we later enter a separate live-brokerage agreement with you. Simulated orders may run on a schedule you opt into, using real or delayed market prices as inputs. Fills, slippage, borrow, margin, partial fills, halts, and fees in the simulator are models. They are not execution quality on an exchange.
Optional automation is off until you turn it on for that paper portfolio, and we may still skip, cap, or refuse a simulated order based on entitlements, risk rules, or system limits. A decision log (including a decision not to simulate a trade) is a product record, not proof of a live execution.
Demo, guest, and sample books are illustrations. They are not your account and not an offer.
6. No Advice, No Offer, No Fiduciary Duty
The Services, including stages, scores, Hunt suggestions, optimizer output, alerts, learning articles, emails, and tooltips, are general information and education. They are not investment, financial, legal, tax, or accounting advice, and they are not personalized to your full financial situation. They are not an offer to buy or sell any security, option, or other instrument, and not a solicitation of advisory business.
You are solely responsible for whether you use the output, whether you place a real-world trade, and for the outcomes. We do not undertake to act in your best interest as an adviser or broker. If you need advice, hire a licensed professional.
7. Hypothetical, Backtested, and Past Performance
Paper results, backtests, screenshots, and examples have inherent limitations. They may over- or under-state what a live account would have experienced because of fills, liquidity, corporate actions, taxes, timing, and the fact that the model was not subjected to live risk. Past performance — real or simulated — does not guarantee future results. Do not assume you would have had the same return in a brokerage account.
Company research measurements are not public return claims and are not a promise that live behavior will match a backtest.
8. Market Data, Models, and Delays
Quotes, fundamentals, stages, and other derived fields may be delayed, incomplete, restated, or wrong. Different symbols may sit on different delay tiers. Corporate actions, splits, halts, and vendor outages can make the screen stale. Models and machine-learning components can fail, skip, or disagree with each other. You must not treat any number on a screen as a live recalculation or as a certified price.
We and our data licensors retain all rights in market data. You may use data only inside the Services, for your personal or internal evaluation of the product. You may not redistribute, scrape, or commercially resell market data obtained through TRINITY.
9. Acceptable Use
You will not, and will not allow others to:
- use the Services unlawfully, or to violate securities, commodities, privacy, or export law;
- misrepresent TRINITY output as live brokerage, as a guarantee, or as personalized advice;
- interfere with, probe, or degrade the Services, except a vulnerability report sent to us as described below;
- scrape, crawl, harvest, or bulk-download the Services or market data without our prior written consent;
- reverse engineer the Services except to the limited extent a statute forbids that restriction;
- bypass rate limits, entitlements, bot checks, or authentication;
- open accounts by automated means, share accounts, or impersonate others;
- upload malware or illegal content, or use the Services to manipulate markets;
- use the Services to train a competing model in a way that copies our non-public output at scale, other than ordinary personal use of the screens you see.
10. Your Content
You retain ownership of paper-portfolio names, notes, and other content you submit (“User Content”). You grant TRINITY a worldwide, non-exclusive, royalty-free license to host, process, display, and create operational copies of User Content solely to provide, secure, and improve the Services (including backups, support, and de-identified or aggregated analytics).
You represent that you have the rights to submit User Content and that it does not infringe others or violate law. We may remove content that violates these Terms. If you share a portfolio, you are responsible for who receives the link and what they see.
Feedback. If you send ideas or suggestions, you grant TRINITY a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
11. Our Intellectual Property
The Services — including software, models, weights, taxonomies, stage methodology, copy, trademarks, and look-and-feel — are owned by TRINITY or its licensors. We grant you a limited, revocable, non-transferable, non-sublicensable license to access the Services for your personal or internal business evaluation, only as these Terms allow. We reserve all other rights.
“TRINITY,” related marks, and the product design are ours. You may not use them in a way that suggests sponsorship or a live brokerage relationship we do not have.
12. Third Parties and App Stores
The Services depend on providers such as Google (authentication and cloud hosting), Apple (Sign in with Apple and, if you use iOS, the App Store), Cloudflare, and market-data vendors. Their terms and privacy policies apply to their services. We are not responsible for third-party outages, data errors, or policy changes.
If you download the iOS app, Apple’s Licensed Application End User License Agreement also applies. Apple is not a party to these Terms and has no obligation to provide maintenance or support for the app. To the extent these Terms provide for warranties, Apple has no warranty obligation; any claims relating to the app are between you and TRINITY, not Apple, subject to these Terms. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.
13. Plans and Future Billing
We may offer free and paid plans, entitlements, and usage limits (for example number of paper portfolios or optimizations). Paid billing is not part of the live consumer product as of the effective date. If we introduce paid subscriptions:
- charges will be in US dollars via a third-party processor we name at checkout;
- subscriptions will auto-renew at the then-current rate unless you cancel before renewal;
- trials convert to paid unless cancelled before the trial ends;
- fees are non-refundable once a term begins except where the law requires a refund;
- you are responsible for taxes we are required to collect;
- we may suspend access for failed payment.
We will present specific prices, term, and cancellation steps before we take a payment method. Those checkout terms supplement these Terms.
14. Availability
We aim to keep the Services up. Status pages are informational only. Unless a separate signed SLA says otherwise, the Services are provided as is, without uptime, latency, or data accuracy guarantees. We may change, suspend, or discontinue features, coverage, or data sources at any time.
15. Communications
You agree we may send transactional emails related to the account and paper activity (including security and simulated-trade notices). Marketing or newsletter mail is optional and includes an unsubscribe. Push or in-product alerts follow the preferences you set. Carrier and device charges are yours.
16. Privacy
Our Privacy Policy explains how we collect and use personal information, including first-party analytics and sampled session replay. Personal information is processed in the United States. If you use the Services from another country, you still consent to that US processing. We do not geo-block access.
17. Security
Report vulnerabilities to info@trinitytrade.io. Do not exploit them against customer data or impair the Services. Coordinated disclosure is at our discretion.
18. Copyright
If you believe content on the Services infringes your copyright, send a notice meeting 17 U.S.C. § 512 to info@trinitytrade.io. We may terminate repeat infringers. A postal designated-agent address is available from that mailbox on request.
19. Sanctions and Export
You will comply with US and other applicable export-control and sanctions laws. Software and technical data in the Services may not be exported or re-exported to prohibited destinations or persons.
20. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access immediately if we reasonably believe you violated these Terms, create risk to the Services or other users, or (when billing exists) fail to pay. We may also discontinue the Services. On termination your license ends. Sections that should survive (including 2, 6–8, 10–13, 16, 21–26) survive.
We are not obligated to export your paper book in any particular format. If you want deletion, email info@trinitytrade.io as described in the Privacy Policy.
21. Disclaimers
THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRINITY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA OR SIMULATED RESULTS WILL BE ACCURATE OR COMPLETE.
Some jurisdictions do not allow disclaimer of certain implied warranties. In those places, the disclaimer applies to the full extent permitted, and any implied warranty is limited to 30 days or the minimum period the law requires, whichever is shorter.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRINITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR PAPER- OR LIVE-TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY, AND WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRINITY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TRINITY FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).
These limits are a fundamental part of the bargain and apply even if a remedy fails of its essential purpose. They do not limit liability that the law says cannot be limited (for example, certain personal-injury claims, or fraud we actually commit).
23. Indemnity
You will defend, indemnify, and hold harmless TRINITY and its officers, directors, and employees from and against any third-party claims, damages, losses, and reasonable attorneys’ fees arising out of: (a) your User Content; (b) your use of the Services; (c) your real-world trading or other activity outside the paper environment; or (d) your violation of these Terms or applicable law. We may assume exclusive defense at your expense; you will cooperate.
24. Informal Resolution, Arbitration, and Class Waiver
Governing law. These Terms and any dispute are governed by the laws of the State of Delaware, excluding conflict-of-law rules, and by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) as to arbitration.
Informal resolution first. Before filing a claim, you will email info@trinitytrade.io with your name, the email on the account, a description of the dispute, and the relief sought, and you will allow 30 days for us to attempt a resolution.
Binding individual arbitration. Except for the carve-outs below, any dispute, claim, or controversy arising out of or relating to the Services or these Terms — including formation, breach, termination, and enforceability of this clause — will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or, if you used the Services solely as a business, its Commercial Rules). The seat of arbitration is Delaware. Hearings may be by video or telephone. The arbitrator may award individual relief the law allows, but not class, representative, or public-injunctive relief except as a court later requires for this clause to remain enforceable. Judgment on the award may be entered in any court of competent jurisdiction.
Costs. For a dispute that AAA treats as a consumer matter, TRINITY will pay AAA filing and arbitrator fees to the extent the AAA Consumer Rules or Consumer Due Process Protocol require the company to pay them, unless the arbitrator finds your claim frivolous. Each side bears its own attorneys’ fees unless a statute says otherwise.
Class and jury waiver. YOU AND TRINITY WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Claims may be brought only in an individual capacity. If a court or arbitrator finds the class waiver unenforceable as to a particular claim, that claim (and only that claim) may proceed in court, and this clause still applies to the rest.
Carve-outs. Either party may (a) bring an individual action in small-claims court if the claim qualifies; or (b) seek temporary or permanent injunctive relief in court to protect intellectual property, data, or the security or integrity of the Services. Those court actions, if not in small claims, must be filed in the state or federal courts located in Wilmington, Delaware, and you consent to that venue.
30-day opt-out. You may opt out of arbitration and the class waiver by emailing info@trinitytrade.io within 30 days after you first accept these Terms, with subject line “Arbitration Opt-Out,” stating the email on your account. If you opt out, exclusive jurisdiction and venue for disputes (other than small claims) are the state or federal courts in Wilmington, Delaware, still under Delaware law, and the class waiver still applies to the maximum extent the law allows.
If you are a consumer and the law of your state forbids a term in this section, that term is modified only as needed for the rest to stand.
25. Changes
We may update these Terms. We will post the new version with a new effective date and, for material changes, provide additional notice where reasonably possible. Continued use after the effective date is acceptance. If you do not agree, stop using the Services and request account deletion.
26. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement and supersede prior terms for the Services. Additional checkout or App Store terms may apply as stated.
- Severability. If a provision is unenforceable, the rest remains in effect, except as provided for the class waiver.
- Waiver. A failure to enforce is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, merger, or sale of assets.
- No third-party beneficiaries except Apple as stated and our indemnified persons as to indemnity.
- Force majeure. We are not liable for delays caused by events beyond our reasonable control, including vendor, exchange, or cloud-provider failures.
- Interpretation. Headings are for convenience. “Including” means “including without limitation.”
- Language. The English version controls.
